Citation Pre-Order Terms and Conditions
These Terms and Conditions ("Terms") apply to your pre-order of the Citation software product ("Citation" or "the Product"), offered by 3 Dot Digital Pty Ltd (ABN 50 628 917 297) ("3 Dot Digital", "we", or "us"). Citation is an AI-powered tool that transforms engineering report writing with automation, and is scheduled for launch on 15 July 2025. By submitting a pre-order for Citation through our website, you (the customer) agree to be bound by these Terms. Please read them carefully.
1. Eligibility and Territory
- Australian Customers Only: The Citation pre-order offer is available only to customers located in Australia. You must provide a valid Australian address and contact details when placing a pre-order.
- Business Use and Age: This pre-order is intended for business customers. By pre-ordering, you confirm that you are either a business entity or an individual acting on behalf of a business, and that you are 18 years or older and legally capable of entering into this agreement.
- Authorized Representative: If you are placing a pre-order on behalf of a company or organization, you confirm that you have the authority to bind that company to these Terms.
2. Pre-Order Process
To secure your pre-order for Citation, please follow these steps:
- Submit Pre-Order Request: Complete the pre-order form on our website (or follow the instructions on our pre-order landing page) with the required details. Ensure all information you provide is accurate and complete.
- Order Confirmation: After you submit your pre-order request, we will review it and send you a confirmation via email if your order is accepted. This email will include an invoice for the pre-order payment.
- Invoice and Payment: Upon receiving the invoice, you must arrange full payment within 7 days (see Pricing and Payment below for details). Your pre-order is not final until we receive the full payment.
- Reservation of Product Access: Once full payment is received, we will reserve your access to the Citation product. You will then be set to receive access to Citation when it becomes available on the launch date (15 July 2025).
We reserve the right to decline or cancel a pre-order request (with a full refund if payment has been made) if it does not meet our eligibility criteria or for other legitimate reasons (for example, suspected fraudulent activity).
3. Pricing and Payment
- Pricing: The price for the Citation pre-order is as advertised on our website or as communicated in your invoice. All prices are in Australian Dollars (AUD). Unless stated otherwise, prices exclude Goods and Services Tax (GST).
- Taxes: Applicable taxes (including the 10% GST for Australian customers) will be added to the invoice where required by law. The invoice will clearly state any taxes charged. You are responsible for any taxes or duties applicable to the transaction.
- Invoice Payment Terms: Full payment of the invoiced amount is required within 7 days of the invoice date. Payment instructions (such as bank transfer details or online payment options) will be provided on the invoice or in the order confirmation email.
- Payment Confirmation: We will confirm receipt of your payment via email. If payment is not received within 7 days, we may cancel your pre-order. It is your responsibility to ensure payment is made on time with correct reference details so we can identify your payment.
- No Additional Charges: There are no recurring fees due at the time of pre-order. Your pre-order payment covers the initial product access as described in the offer. If ongoing subscription or licensing fees apply after any initial period included with your pre-order, those will be subject to separate terms and pricing at the time of product launch.
4. Delivery of Product Access
- Launch Date: Citation is scheduled to launch on 15 July 2025. Product access (such as account credentials or license activation instructions) will be provided to you on or shortly after this date. We will notify you via email with instructions on how to access and begin using Citation once it is available.
- Delivery Method: As Citation is a digital software product, delivery will consist of providing you access to the online platform or software download. No physical goods will be shipped. You may receive an email with login details, a license key, or an invitation to create an account on the Citation platform.
- Delays: We will make every reasonable effort to release the Product and grant access by the launch date. However, development challenges or unforeseen issues can sometimes cause delays. If the release of Citation is delayed, we will inform you as soon as possible via the email associated with your order. We appreciate your understanding and will work to deliver the Product in a timely manner.
- Changes to Features: Citation is being launched as an AI-powered tool for engineering reports. While we have planned features, the final feature set at launch may vary as we refine the product. Any significant changes to key features advertised at the time of your pre-order will be communicated to you. Our goal is to ensure the Product you receive meets or exceeds the expectations set during the pre-order.
- Failure to Deliver: In the unlikely event that we are unable to provide you with access to Citation within a reasonable time after the launch date (for instance, if the product is discontinued or the launch is cancelled), you will be entitled to a full refund of your pre-order payment.
5. Cancellations and Refunds
Refunds Available Prior to Delivery: You may request a refund for your pre-order at any time before product delivery, for any reason, including change of mind. We want you to feel confident in your decision to support Citation ahead of launch.
How to Request a Refund: Refund requests must be made in writing (email is fine). Please include your full name, business name (if applicable), the email address used to place the pre-order, and any relevant order reference. Once received, we'll process the refund as soon as possible, typically within 7–10 business days.
No Questions Asked: You don't need to provide a reason for the refund, though we may ask for optional feedback to help us improve.
After Delivery – No Refunds: Once access to Citation has been provided (on or after the scheduled release date of 15 July 2025), refunds are no longer available. We consider delivery complete once account access, license credentials, or activation instructions have been issued.
Australian Consumer Law Rights: These refund terms are in addition to any rights you may have under the Australian Consumer Law. If the product is not delivered as promised, or if it is defective or misrepresented, you may still be entitled to a remedy.
Cancellation by Us: We reserve the right to cancel your pre-order before delivery if necessary (for example, if you breach these Terms, if we suspect fraud, or if the product will not be released). If we cancel your pre-order, we will notify you in writing and provide a full refund of any payment you have made.
6. Intellectual Property
- Ownership: All intellectual property rights in the Citation software, including but not limited to the software code, algorithms, designs, trademarks, brand name, logos, content, and documentation, are owned by 3 Dot Digital Pty Ltd or its licensors. Pre-ordering the Product or later accessing it does not transfer any ownership rights to you.
- License to Use: Upon the Product's release and your receipt of access, you will be granted a right (such as a license or user account) to use Citation in accordance with the applicable end-user license agreement or usage terms provided with the Product. This license will be for your internal business use only, as per the scope agreed (for example, the number of authorized users or duration of use, if applicable). You must use the Product only as permitted and not for any unlawful or unauthorized purposes.
- No Unauthorized Distribution: You must not distribute, copy, rent, lease, sell, sublicense, or otherwise transfer the Citation software or any license keys or access credentials to any third party without our prior written consent. The Product is licensed to you (or your business), not sold.
- Protection of IP: You agree not to reverse engineer, decompile, or disassemble the Citation software, nor attempt to derive the source code or underlying ideas or algorithms except to the extent allowed by law. You also agree not to remove or alter any copyright, trademark, or proprietary notices in the software or related materials.
- Feedback: If you provide us with feedback, suggestions, or ideas regarding Citation (for example, suggestions for improvements or error reports during early use), you agree that we may use and incorporate such feedback without any obligation to you. Any enhancements or changes resulting from your feedback are owned by 3 Dot Digital.
7. Warranties and Disclaimers
- Product Quality: We are committed to delivering a high-quality product. We warrant that once launched, Citation will be provided with due care and skill. In other words, we believe the Product will be reasonably fit for the purposes for which software of its kind is commonly supplied, in line with what has been advertised.
- Australian Consumer Law Guarantees: If you are a "consumer" as defined under the Australian Consumer Law (which can include businesses purchasing software under a certain value), you may have statutory guarantees (such as that the product is of acceptable quality and matches its description). Nothing in these Terms excludes or limits those non-excludable guarantees.
- No Other Warranties: Except for the above guarantees and to the extent permitted by law, Citation is provided "as is" upon release. We do not make any other guarantees or warranties about the Product's performance, accuracy, or suitability for your specific needs. For example, we do not guarantee that the software will be completely error-free or that it will meet all of your expectations, although we certainly aim for it to meet our promises.
- Limitation of Implied Terms: To the extent permitted by law, any warranties or conditions not expressly stated in these Terms are excluded. If any warranties are implied by law and cannot be excluded, we limit our liability for breach of those warranties to (at our option) supplying the Product again or paying the cost of having the Product supplied again, as permitted under the Australian Consumer Law.
- Beta or Early Access: Please note that you will be among the first users of Citation. The Product may initially be released in a beta or early-access version. While we will support you and fix issues promptly, early versions of software can sometimes have unforeseen bugs or require refinements. Your understanding and feedback during this period are appreciated. This does not diminish our commitment to deliver a functional and valuable product.
8. Limitation of Liability
- Indirect or Consequential Loss: To the extent permitted by law, 3 Dot Digital will not be liable for any indirect, special, incidental, or consequential damages arising out of or related to your pre-order or use of Citation. This includes, for example, any loss of profits, loss of business opportunity, loss of data, or downtime, even if we have been advised of the possibility of such losses.
- Liability Cap: To the extent permitted by law, our total aggregate liability to you for any claims arising under these Terms or relating to the Product is limited to the amount you paid us for your pre-order of Citation. In other words, our maximum liability is the total fees you have paid for the Product.
- Australian Consumer Law Remedies: If you have rights under the Australian Consumer Law or other laws that apply and those laws provide for a remedy (such as a refund or compensation) that cannot be lawfully excluded or limited, then nothing in these Terms is intended to exclude, restrict, or modify that remedy. Otherwise, the limitations and exclusions in this section apply.
- Release for Delays: You acknowledge that the Product is in development and that the launch date is set for 15 July 2025. If there are delays in delivery (as discussed in the Delivery section), you agree that, aside from the option for a refund of your pre-order payment as stated in these Terms, you will not hold us liable for any losses arising directly from the delay (such as inconvenience or project delays on your end).
- Third-Party Inputs: We will not be liable for any unavailability, errors, or issues caused by third-party services or data that Citation might rely on. For example, if Citation integrates with a third-party data source or service and that service fails or provides inaccurate data, we are not responsible for those external issues.
9. Dispute Resolution
- Contact Us First: If you have any concerns, issues, or disputes regarding your pre-order or the Citation Product, we encourage you to contact us first to attempt to resolve the matter amicably. You can reach out to us via the contact information provided on our website (for example, through our support email or contact form). We believe most issues can be resolved quickly through open communication.
- Good Faith Negotiation: In the event of a dispute, we (you and 3 Dot Digital) agree to discuss and negotiate in good faith to try to resolve the issue. If needed, and if both parties agree, we may consider mediation or another alternative dispute resolution process in Queensland to help reach a mutually acceptable solution before resorting to formal legal action.
- Legal Proceedings: If a dispute cannot be resolved informally or through mediation, either party may pursue legal remedies. Subject to the Governing Law clause below, you agree that any court proceedings will be conducted in an appropriate court in Queensland, Australia (unless both you and we agree to an alternative jurisdiction or method of resolution).
10. Governing Law
These Terms and any dispute arising out of your pre-order or the Citation Product are governed by the laws of Queensland, Australia. You and 3 Dot Digital agree that the laws of Queensland will apply to all aspects of these Terms and the pre-order transaction.
By accepting these Terms (for example, by checking the acceptance box on our website or by submitting a pre-order), you acknowledge that you have read and understood this agreement and agree to be bound by it.
